CONSTITUTION

LION BAND BOOSTERS

 

 

ARTICLE I

 

NAME

 

The name of this association shall be the Lions Band Boosters, a non-profit organization, referred to hereinafter and in the By-laws as the Association.

 

ARTICLE II

 

PURPOSE

 

The general nature of the purpose of this organization shall be:

 

1.      To aid and assist the director(s) of the band in all public and social functions of the band.

2.      To organize and supervise fund raising as set aside in the annual budget.

3.      To assist and support the band in all of its activities and projects.

4.      Promote community interest through the local media with band publicity.

5.      To encourage support and promote interest in the musical program of the Palm Beach County schools.

 

ARTICLE III

 

MEETINGS

 

General meetings of the Association will be held monthly throughout the school year and during the summer, whenever scheduled by the Board of Directors. In order for any business to be transacted, a quorum as provided in the Bylaws must be present.

 

A regular or special meeting shall be presided over by an elected officer. The Director of Bands must be informed prior to any and all meetings, whether regular or special in nature.

 

 

 

 

 

 

 

ARTICLE IV

 

MEMBERSHIP

 

The parent(s) or guardian(s) of any student active in the Olympic Heights Community High School Band shall be deemed a member in the Association.  Any interested persons shall be eligible for associate membership as a non-voting member.

 

ARTICLE V

 

DUES

 

The dues for membership shall be considered paid when the students’ “fairshare” obligation has been fulfilled.

 

ARTICLE VI

 

BOARD OF DIRECTORS

 

The Board of Directors of the Association shall consist of:  President – elected, First Vice-President – elected, Second Vice-President – elected, Secretary – elected, Treasurer – elected, Financial Secretary – elected, and Director of Bands--ex officio.  Any office may be held by one, but not more than two, members of the Band Booster Organization.

 

ARTICLE VII

 

ELIGIBILITY TO HOLD OFFICE

 

No person shall be eligible to hold office in the Association unless that person is an active member.

 

Officers will be elected for a one-year term.

 

ARTICLE VIII

 

ELECTION OF OFFICERS

 

Election of Officers shall be held annually at the regular meeting in the month of April. A Nomination Committee shall consist of the Committee Chairperson plus two members appointed by the President and approved by the Board prior to the February meeting.  The slate of officers shall be presented to the members at the March meeting. Nominations may be accepted from the floor at that time. New offices shall assume their responsibilities on May 1st.

 

ARTICLE IX

 

BOARD

 

  1. The Board shall consist of the Board of Directors as stated in Article VI plus the Committee Chairpersons.
  2. The Board will meet prior to each regular membership meeting as stated in Article III.
  3. The Board of Directors shall be responsible for the proper handling of all business and finances approved by the Association and shall make recommendations to the membership.

 

ARTICLE X

 

RULE BY OPEN FORUM

 

All business of this Association will be conducted with the knowledge of all members concerned.

 

ARTICLE XI

 

PROCEDURES

 

In the absence of rules for procedures in this constitution or in the Bylaws of the Associations, meetings will be conducted in accordance with Roberts Revised Rules of Order.

 

ARTICLE XII

 

FINANCES

 

  1. At all times, all monies of the Association will be supervised according to school and district policies.
  2. An oral report of the Financial Status of the Association must be given to the membership at all general meetings with a copy going to the President, Secretary and Director of Bands.
  3. All check requisitions for disbursements of monies must contain two signatures:  1) the Director of Bands; 2) any elected Board Member.
  4. The disbursement of no more than $100.00 for a specific item may be made without approval of the Board of Directors. A disbursement of not more than $500.00 for a specific item not covered in the budget may be made by the Board of Directors without approval of the General Membership.
  5. After a project has been approved by the General Membership, over-expenditures must be approved in accordance with limitations established in Section 4 above.
  6. At no time shall any officer or member of the Association make any loan, expenditure or commitment to purchase on behalf of the Association without the combined approval of the Board of Directors and the General Membership (except for those expenditures authorized in Sections 4 and 5 above).
  7. The disbursement of Association funds must meet the requirements set forth in this Article, and be directly related to Band activities or the school musical program.
  8. Fundraiser monies of the Association must be deposited in the schools internal account. Other monies can be deposited into Band Boosters external account with timely transfer of said monies to the schools internal account. An exception would be made for when the school closes its books for the year.
  9. An annual audit of the school’s internal accounts shall be performed in accordance with School Board policy. The Band Boosters will be responsible in having the external account audited annually.
  10. The Association shall operate under an annual budget which shall be prepared and submitted by the Board of Directors for approval by the Association.
  11. The external account of the Association is to be maintained in such a way as to have the ability to purchase necessary items, pay bills, or deposit monies collected after the school has closed its accounts.

 

ARTICLE XIII

 

ASSETS

 

The assets of the Association upon dissolution of the organization shall be distributed to the general fund of Olympic Heights Community High School. In no event shall such assets, or any portion thereof, upon dissolution be distributed to any Trustee, Officer, Patron, Donor, Benefactor, Subscriber, Employee, Member or any person connected with the Association.

 

ARTICLE XIV

 

AMENDMENTS

 

A proposed amendment to this constitution must be presented in writing at a general meeting, read by the Secretary, and laid on the table until the next general meeting when a vote on the amendment shall be taken. This constitution may be amended by two-thirds (2/3) vote of members present and voting.  All members shall be notified in writing of the proposed change in amendments.
