LION BAND BOOSTERS ASSOCIATION

 

BYLAWS

 

ARTICLE I

 

GENERAL

 

  1. The Association, upon approval of the duly elected Board of Directors and the general body of membership, will seek and forever be known as a legal non-profit, charitable organization, as described by the Laws of the State of Florida.
  2. The name of the Association cannot be changed without first meeting the requirements set forth for Amendments to the Constitution and the Laws of the State of Florida.
  3. All business transactions duly authorized by the Officers and/or Members of the Association shall be done in the name of the Association and shall be binding upon all members.

 

ARTICLE II

 

MEETINGS

 

1.                  The time of meetings will be stated by the Board of Directors.

2.                  The annual meeting of the Association shall be held in April. Annual Reports will be accepted at this meeting.

3.                  The President of the Association will call a special meeting of the Association whenever he/she is requested to do so by at least five members or by the Director of Bands. The membership shall be notified at least five days prior to the date of the special meeting.

4.                  A  Quorum shall consist of 7 active members or 51 percent of the membership present, whichever is less.

 

ARTICLE III

 

STANDING COMMITTEES

 

The President and the Director of Bands will be Ex Officio members of all standing committees.

 

1.                  Banquet – To organize and supervise the annual band banquet.

2.                  Concession – To supervise operations of all concessions.

3.                  Football Program Sales – To coordinate sales of the football program.

4.                  Instrument Transportation – To coordinate means of transporting any and all band equipment.

5.                  Nominating – To present a proposed slate of officers for the upcoming term.

6.                  Phone – To seek and encourage attendance, and disburse information.

7.                  Publicity – To secure publicity for the activities of all Band and Association functions.

8.                  Social – To provide refreshments for social functions of the Band and the Association.

9.                  Uniform – To supervise inventory, distribution and maintenance of all uniforms.

 

Each committee chairperson shall submit to the Board of Directors a written report of detailed information on activities to assist future chairpersons.

 

 

ARTICLE IV

 

CHAPERONE CHAIRPERSON

 

The Chaperone Chairperson shall be the First Vice-President. The Chaperone Chairperson shall appoint parents to chaperone whenever necessary, always trying to use as many different parents as possible.  Each chaperone will be given a copy of the current Guidelines.

 

ARTICLE V

 

 

The Director of Bands shall act as an advisor of the Association in all matters pertaining to the band.  Full and thoughtful consideration shall be given to any and all recommendations or suggestions made by the Director of Bands.  He/she is a voting member of the Board.  He/she has the right to veto any action not in the best interest of the band.

 

ARTICLE VI

 

SPECIAL INSTRUCTIONS

 

Any additional instructors that may be asked by the Director of Bands to work with all or portions of the band will be paid for by the Association’s account, and shall be within the budget allocations for that year. The Director of Bands will secure persons that are approved by the school board.

 


ARTICLE VII

 

DUTIES OF OFFICERS

 

The duties of the several officers of the Association shall be set forth as follows:

  1. The President shall be the chief executive officer and shall preside at all meetings when present. He/she shall see that elections are held in accordance with the provisions of this constitution.  He/she shall appoint all committees and will be an ex officio member of each committee, except the nomination committee; standing committees will be subjects to approval by the Board.  He/she shall call special meetings as provided in the Bylaws.
  2. The First Vice-President shall assist the President in the operation of the Association whenever the latter needs or requests such assistance.  During any temporary absence of the Association President, the First Vice-President will assume the duties of, and have the same authority as, the President during each absence.  If the office of the President becomes vacant, the First Vice-President will succeed thereto. He/she shall be the parliamentarian for the Association.
  3. The Second Vice-President shall be in charge of Ways and Means. If the office of First Vice-President becomes vacant, the Second Vice-President will succeed thereto, and a new Second Vice-President will be elected unless such vacancy occurs subsequent to March 1st.
  4. The Secretary will take minutes at each Association meeting and be prepared to read them at any time upon request of the President. The Secretary will keep an up-to-date record of the names of all active members of the Association together with their addresses and telephone numbers. The Secretary will conduct all correspondence incident to the operation of the Association.
  5. The Treasurer will supervise the collection of all funds accruing to the Association; keep an accurate record thereof as well as an accurate record of all expenditures made and authorized to be made; and keep an accurate record of the financial standing of the Association, being prepared to report thereon whenever requested to do so by the President, following the Article of Finances, Article XII of the Constitution; receive written financial reports from all committee chairpersons handling projects where funds were obtained or spent.
  6. The Financial Secretary will assist the Treasurer in keeping records of student accounts, and other duties as Treasurer requires assistance.

 

ARTICLE VIII

 

STUDENT BAND REPRESENTATIVES AT MEETINGS

 

Student Band Officers and student members are invited and should be encouraged to attend all meetings of the Association.


ARTICLE IX

 

POLICIES

 

  1. This organization shall encourage school policies that would benefit the band program.
  2. This organization shall be non-profit, non-commercial, non-partisan and non-sectarian.
  3. The names of the officers in their official capacities and/or name of the organization shall not be used for:

a.                  Endorsement or support of a commercial concern.

b.                  Endorsement or support of any political activity.

c.                  Any partisan interest.

  1. All monies donated or otherwise tendered to the Lion Band Boosters Association shall be turned over to the Treasurer for deposit in the applicable accounts.
  2. Student “Fair Share”:

a.                  “Fair Share” is a means to help all students pay their own way in the band program.  It is designed in such a way so as to distribute money earned by the students, their families, and the band parent organization in an equitable manner. Each student has a ledger showing the amount raised by him or her.  By raising “fair share” a student supports both himself and the band parent organization. The organization provides an opportunity to raise monies that would not otherwise be available to the student.  On each project the Chairman of the Ways and Means, with the approval of the Board, indicates what percent of the projects’ profit goes towards the students’ “fair share” and to the band parent organization to offset the annual budget.

b.                  The monies remaining in the student’s account or their siblings at the end of the school year will stay in their account for use the next consecutive year. Non-returning members remaining account balance will be transferred to the scholarship fund.

 

ARTICLE X

 

AMENDMENTS

 

  1. Any and all amendments to the Bylaws must be presented in writing to the Board of Directors for recommendation. The amendment will be presented at the next regular general membership meeting of the Association. Approval requires a two-thirds majority of voting members in attendance.
  2. As a general rule, whenever practical, all amendments to either the Constitution or Bylaws will be acted upon at the last regularly scheduled general meeting.
  3. No change in the rules set forth in the Constitution or Bylaws shall be accepted which are deemed in violation of State, County or School Board regulations.

 

ARTICLE XI

 

SAVING CLAUSE

 

Any rule or regulation set forth in either the Constitution or Bylaws of this Association which shall be held as illegal or in conflict with any individual moral, religious, or civil right guaranteed by the Constitution of the United States, the State of Florida or rules of the Palm Beach County Board of Education governing the actions of all schools and students in attendance, shall be nullified, thus relieving the membership from adherence to said rule.
